By accessing and using Congratz ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your access to and use of Congratz, operated by WORKFREAK LLC ("we," "us," or "our").

2. Description of Service

Congratz is a digital greeting card service that allows users to create, customize, and send personalized digital congratulations cards. Our service includes:

• Digital card creation and customization tools
• Photo and media upload capabilities
• GIF search and selection through third-party services
• Card sharing via links
• Scheduled delivery options
• Multiple card formats (Portrait, Landscape, Square)
• Different card sizes
• Optional add-on features

3. User Accounts

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 13 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Guest Checkout

You may use our Service to create cards without creating an account. When using guest checkout, you will be required to provide an email address during the payment process for transaction records and receipts. Guest checkout sessions are temporary and may be linked to your account if you later create one using the same email address.

4. Acceptable Use

You agree not to use the Service to:

• Create, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringe upon the intellectual property rights of others
• Upload viruses, malware, or other malicious code
• Impersonate any person or entity or falsely state your affiliation
• Collect or store personal data about other users without permission
• Use the Service for any commercial purpose without our express written consent
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers connected to the Service

5. User Content

5.1 Ownership

You retain ownership of all content you create, upload, or share through the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your User Content solely for the purpose of providing and improving the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You have the right to use and share all User Content, including all necessary rights, licenses, and permissions
• Your User Content does not violate any third-party rights, including copyright, trademark, privacy, or other intellectual property rights
• You have obtained all necessary permissions and licenses for any copyrighted material, images, music, or other content that you did not create yourself
• Your User Content complies with all applicable laws and regulations

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is objectionable or harmful. We are not obligated to monitor User Content but may do so at our discretion.

We reserve the right to remove any offensive, illegal, or damaging content at any time, even if currently not explicitly prohibited in these Terms. Content removal may occur without prior notice to you, and we are not required to provide a reason for such removal.

5.4 Platform Liability Disclaimer

You own and are solely responsible for all User Content you create, upload, or share through the Service. We act solely as a platform that provides tools for you to create and share your content. We do not create, control, or endorse any User Content, and we are not liable for any User Content or any consequences arising from your use of the Service to create, upload, or share content.

We disclaim all liability for:

• The accuracy, legality, or appropriateness of any User Content
• Any claims, damages, or losses arising from User Content, including but not limited to copyright infringement, defamation, or privacy violations
• Any interactions between users or between users and recipients of cards
• Any consequences resulting from the sharing, distribution, or publication of User Content

By using the Service, you acknowledge and agree that we are not responsible for User Content and that you bear all risks associated with creating, uploading, and sharing content through our platform.

5.5 Copyright Infringement and DMCA Policy

We respect the intellectual property rights of others and expect our users to do the same. You may not upload, post, or share any content that infringes upon the copyright, trademark, or other intellectual property rights of any third party.

If you believe that your copyrighted work has been copied and is accessible through our Service in a way that constitutes copyright infringement, you may notify us by providing the following information:

• A physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
• Your contact information, including name, address, telephone number, and email address
• A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
• A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA takedown notices and may remove or disable access to allegedly infringing content. We reserve the right to terminate accounts of users who are repeat copyright infringers.

If you believe that your content was removed in error, you may submit a counter-notification in accordance with the DMCA. False or fraudulent claims of copyright infringement may result in liability for damages.

6. Payment and Pricing

6.1 Pricing

Our Service operates on a pay-per-card model. Each digital card has a base price, and additional add-on features are available for additional fees. Add-ons include Custom Link, Mystery Send, Keep Forever, Downloadable PDF, and Messages Wall. Messages Wall pricing is tiered based on the number of contributors you wish to allow. All prices are displayed in USD unless otherwise stated.

6.2 Payment Processing

Payments are processed through third-party payment processors. By making a purchase, you agree to the terms and conditions of our payment processor. We do not store your full payment card information on our servers.

6.3 Refunds

We offer a 30-day money-back guarantee on card purchases if you are not satisfied. Refund requests must be submitted within 30 days of purchase. Refunds are processed within 5-7 business days. Once a card has been sent or accessed, refunds may be limited.

6.4 Add-on Limitations

Certain add-on features have limitations and restrictions:

• Downloadable PDF: Cards containing GIF images cannot be downloaded as PDF files for printing. This limitation exists because GIF animations cannot be accurately represented in static PDF format. If your card contains GIFs, the Downloadable PDF add-on will not be available for selection.
• Mystery Send: The Mystery Send feature requires user authentication (a registered account) for security reasons. This ensures that scheduled card deliveries are associated with verified user accounts and can be properly managed and tracked. Guest users (users who have not created an account) cannot use the Mystery Send feature. You must sign in or create an account to access this feature.

7. Card Formats, Sizes, and Editing

Our Service offers multiple card formats (Portrait, Landscape, and Square) and different sizes to suit your needs. Once a card is created and sent, it cannot be edited. This ensures that recipients see exactly what you intended when you sent it. If you need to make changes, you must create a new card.

8. Card Expiration and Access

Digital cards created through our Service expire after a default period from creation. After expiration, cards are no longer accessible through the shared link. You may purchase the "Keep Forever" add-on to make your card accessible indefinitely.

We are not responsible for lost access to cards after expiration if the "Keep Forever" add-on was not purchased.

9. Third-Party Services

Our Service integrates with third-party services to provide enhanced functionality:

• Payment Processing: We use third-party payment processors to handle transactions securely.
• GIF Services: We integrate with third-party GIF search services to allow you to search and add GIFs to your cards. When you search for GIFs, your search queries may be sent to these third-party services, but no personal information is shared except the search terms themselves. GIF content is hosted by third-party servers.

Your use of third-party services is subject to their respective terms and privacy policies.

10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by WORKFREAK LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless WORKFREAK LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Service, your User Content, or your violation of these Terms.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Sheridan, Wyoming.
